Proposal (Steve):
1. The initial voting membership of the Steering Committee shall consist of everyone who attended at least two of the regularly scheduled Steering Committee teleconference calls between April 1, 2008 and June 1, 2008.
2. Any Steering Committee voting member in good standing may nominate one person to be a voting member per meeting.
3. Approval of a voting membership nomination requires a simple majority of the current voting members
4. Voting membership is dependent upon participation. If a steering committee voting member becomes inactive, voting membership is revoked and they must be nominated and voted on to regain status.
5. A voting member is considered inactive on a given day if, within the previous sixty calendar days, they have done none of the following:
1. Attended a regularly scheduled Steering Committee conference call
2. Cast a vote
3. Posted a message to the steering committee mailing list
6. A voting member may be impeached, and their voting rights removed, by a 2/3 vote of the current voting membership
7. An person may be nominated for membership no more than once in a ninety day period.
Response (Brett):
I think participation requirement to remain "in good standing" needs to be higher than this. But for the sake of agreeing to something I can agree to this for now. Once the Steering Committee finds it is unable to conduct business because it cannot reach quorum on its calls or via email ballots, it will be time to tighten-up on the participation rules. But I can live with the idea of not fixing this until it breaks... but it is likely going to break. If all I do is send an email to the list once every 60 days, I am pretty useless and I'm dragging down the Steering Committee's ability to conduct business. I stand behind the suggestion that someone is subject to removal if they have missed 3 of 5 consecutive calls for quorum (either an electronic vote or meeting).
Proposed replacement to 5 (and sub-bullets) above:
5. A voting member is considered no longer being in good standing if the member has failed to participate in three of five consecutive calls for quorum (e.g. physical meetings, teleconferences, electronic votes, etc.).
NOTE: This is assuming we have reasonable notice requirements for such calls for quorum, still TBD.

8. If someone is going to miss calls for quorum they should contact the chair and get a leave of abscence, which allows them to temporarily be removed from quorum and they are back in the moment they return.
Clarification: Point 2 obviates the need for the suggested 8.

Discussion: How to define quorum.
Motion: vote on Quorum = "Simple majority of active voting members".
Suggestion (Brett): Decisions are made (i.e. votes are passed) by "simple majority of those voting when a quorum is present"
How to determine quorum:
Face to Face = people you see
Teleconference = people responding to roll call
Electronic Ballot = reaches everyone

2. Minimum time in advance announcing meetings or teleconferences
Suggestion: Both minimums should be the same (e.g. 7 days).
